“DPA” means the Privacy Addendum to segment.com/legal/data-protection-addendum/. As a wholly owned subsidiary of Twilio, Segment follows Twilio`s documented policies regarding law enforcement and government requests. Before disclosing personal information to law enforcement authorities or government, Segment will verify that the request is valid, limited, specific, detailed and subject to binding legal process. In addition, Segment will notify our customer when we respond to a request for information from their customer, unless we are expressly prohibited by law. Additionally, effective September 15, 2021, Segment began publishing a semi-annual transparency report documenting customer data requests we received. “Partner Portal” means the Segment Partner Portal under segment.com/partners/. Segment may disclose information to government or law enforcement officials or private parties (a) for compliance and protection purposes; (b) where required by law, legal requests or legal process, for example to respond to subpoenas or requests from governmental authorities; (c) to the extent permitted by law, in connection with criminal investigations; and (d) to pursue or defend legal claims. A list of Segment`s sub-processors, including their characteristics and location, is available on segment.com/docs/legal/subprocessors/ website or on another website designated by Segment (“Sub-Processor Site”) and may be updated by Segment from time to time in accordance with this Addendum. 13.7 Waivers and Severability. Waivers must be signed by the authorized representative of the waiving party and may not be implied by conduct. If any provision of this Agreement is held to be invalid, illegal or unenforceable, it will be limited to the minimum necessary for the remainder of this Agreement to remain in full force and effect.

“Customer Agreement” means the then-current version of the Segment Terms of Use found in segment.com/docs/legal/terms/ or any other applicable Customer Agreement with the Segment. 20. Messages. Segment may provide notices and notices to you at your registered email or physical address, through our website or by other reasonable means. All notices or communications to Segment should be sent to Segment.io, Inc., Attention: Legal Department, 100 California Street, Suite 700, San Francisco, California 94111, USA, with a copy to legal@segment.com. 8. Disclaimer. The Services and all related industry services and support are provided “AS IS”.

Segment and its suppliers make no other warranties, express, implied, statutory or otherwise, including warranties of merchantability, fitness for a particular purpose, title or non-infringement. Segment does not warrant that Customer`s use of the Services will be uninterrupted or error-free, that Segment will verify the accuracy of Customer Data, or that Customer Data will be retained without loss. The Segment shall not be liable for any delays, failures or problems associated with the use of the Internet and electronic communications or other systems beyond the Segment`s control. The customer may have other statutory rights, but all guarantees required by law are limited to the shortest period permitted by law. “Services” means Segment`s proprietary cloud services (such as connections, protocols, or personas) available on app.segment.com/signup, including any related documentation provided by Segment. One. Segment processes Customer Data only in accordance with Customer`s instructions. By entering into the Agreement, Customer requests Segment to process Customer Data in order to provide the Services and in accordance with any other written instructions from Customer confirmed by Segment in writing as instructions for the purposes of this Addendum. Customer acknowledges and agrees that this instruction authorizes Segment to process Customer Data (a) to perform its obligations and exercise its rights under the Agreement; and (b) to comply with its legal obligations and to establish, exercise or defend legal claims relating to the Agreement. 16.6. All communications, questions or complaints from customers regarding the Services should be sent to the following email address: friends@segment.com Waivers.

No waiver shall be implied by conduct or failure to enforce or exercise any rights under this Agreement, and no waiver shall be effective unless a waiver is signed in writing by a duly authorized representative on behalf of the party claiming to have waived it. b. Customer is responsible for verifying the information provided by the Segment for data security and independently determining whether the Services meet Customer`s legal requirements and obligations under Data Protection Laws. Customer acknowledges that security measures may be updated from time to time upon reasonable notice to Customer to reflect changes in processes or practices (however, changes will not materially reduce Segment`s obligations from those contained in these Terms as of the Effective Date). 16.7. Entire Agreement; Interpretation. This Agreement is the complete and exclusive statement of mutual understanding between the parties and supersedes all prior written and oral agreements and communications relating to the subject matter of this Agreement. No provision of an Order or other form of business used by Customer shall supersede the terms of this Agreement, and such documents relating to this Agreement are for administrative purposes only and shall have no legal effect. In this Agreement, the headings are provided solely as a convenience and “including”, “for example” and similar terms shall be construed without limitation. Customer acknowledges that the Services are subscription-based online products and that Segment may make changes to the Services to improve the Customer experience and that Segment will update the relevant documentation accordingly. 3. Extended support.

To the extent Customer purchases Early Support separately via the applicable Order Form, Segment will use commercially reasonable efforts to respond to P1 Incidents within one (1) hour of receipt of a Ticket submitted by Customer (“Incident Ticket”) through the Segment Support Portal, available segment.com/help/contact, twenty-four (24) hours a day, seven (7) days a week.
